NUUVIVE AFFILIATE AGREEMENT

Version 2026-10-11.1

This agreement is between H2Op Brands, Inc., which operates the NuuVive storefront ("NuuVive", "we"), and the person or entity accepted into the NuuVive Affiliate Program ("you"). By ticking the acceptance box on the application, or in your partner dashboard, you agree to it. It takes effect only if and when we approve your application.

1. The products and how they may be described

NuuVive supplies materials for laboratory research only. Every product carries the notice: "For laboratory research use only. Not for human consumption." Everything you publish about NuuVive must be consistent with that notice. You may describe what we sell, the documentation we publish (such as our independent third-party lab reports), how to order, and published laboratory research in the same terms our product pages use (identity, structure, analytical data and research context), never effects, benefits or outcomes in humans or animals. NuuVive doesn't share sourcing details, so do not name, or guess at, where our products come from.

2. Relationship and eligibility

2.1 You are an independent contractor. Nothing in this agreement creates an employment, partnership, joint venture, franchise or agency relationship. You have no authority to make any statement, promise or commitment on NuuVive's behalf, and you are responsible for your own costs, equipment and conduct.

2.2 You may not take part if you are located in, organised in or ordinarily resident in a country or region subject to comprehensive United States sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine), or if you appear on a United States government restricted-party list. We refuse applications from those countries, and by applying you confirm you are not located in any of those regions.

2.3 You must be at least 21 years old.

3. Commission and payouts

3.1 You earn a commission on paid orders attributed to you under section 4: the first-order rate when the order is the customer's first paid order at NuuVive, and the repeat rate on every other order attributed to you, including the later orders of a customer linked to you (section 4.2) and the orders of a customer who had already ordered from NuuVive. The first-order rate is paid on one order per customer. Your two rates are shown in your partner dashboard. They are set by your tier (section 3.2), unless we agree different rates with you in writing. The rate recorded on an order when it is placed is the rate paid on that order, even if your rates change later. The hold period is the one in force when the order is paid, and the minimum payout is the one in force when a payout is prepared; both are shown in your partner dashboard.

3.2 Tiers are reached by your lifetime commissionable sales: the total under section 3.3 of the orders attributed to you whose commission has been approved or paid, net of refunds and clawbacks. Sales still in the hold period do not count until their commission is approved. The tiers, their thresholds and their rates are shown in your partner dashboard. A higher tier applies to orders placed after you reach it, and once you reach a tier you keep it.

3.3 Commission is calculated on the product subtotal after discounts, including the discount your partner code gives. Shipping, taxes and fees are excluded, and refunded amounts are deducted.

3.4 A commission is pending during the hold period, which starts when the order is paid. It becomes payable only after the hold period ends, while the order remains paid and in good standing, and once it is approved (which we may do automatically).

3.5 We make payouts once a month, on the payout day shown in your partner dashboard. You are included once your approved balance, net of any clawbacks, reaches the minimum payout, your payout details are on file, and your tax form is on file where section 7 requires one. Payouts are made in US dollars by one of the payout methods shown as available in your dashboard (such as Venmo to the account you record, USDC on the Solana network to the wallet address you record, or store credit under section 3.6), or by another method we agree with you in writing. Only the methods shown in your dashboard are offered; if we stop offering the method you chose, you choose another before your next payout. You are responsible for the accuracy of the details you record; a payment sent to them is final. Any transfer, network, currency conversion or receiving fees are borne by you. A payout due within 7 days of a change to your payout details may move to the following payout day. No payout is made while your participation is suspended or while a commission hold is in place. We record each payout and its reference; we do not guarantee that any particular payment method will be available to you.

3.6 If you choose store credit, each payout is added to your store credit wallet as credit worth the payout amount multiplied by the store credit multiplier in force when the payout is made (shown in your dashboard). Your wallet has one code, locked to your account email (and to your NuuVive account when you order signed in). Store credit goes into your wallet code and can be spent across orders until each credit expires 12 months after it was issued; the oldest credit is spent first. It applies to the products in an order, not to shipping or tax. If an order that used your store credit is cancelled, the credit it used goes back to your wallet, and if it is refunded, the refunded share of that credit goes back; returned credit keeps the expiry of the credit it came from. Store credit not used by its expiry date is lost. Store credit is credit only: it has no cash value, cannot be exchanged for cash or transferred, and is not refunded as cash. If a commission paid as store credit is later reversed under section 6, the reversal is first taken from your unspent store credit, at the multiplier of the payout that paid that commission, and only the rest is deducted from your future payouts. Orders paid with your own store credit are self-referral orders under section 5.1.

4. Attribution

4.1 When more than one way of crediting an order applies, the first that applies wins: (1) a code entered at checkout: your partner code credits you (if NuuVive runs a customer-referral program, its codes credit that program instead); (2) a customer link under section 4.2; (3) a link under section 4.4. A code entered at checkout credits that order only: it does not move a customer link held by another partner. An order is attributed to at most one partner, and to at most one NuuVive program.

4.2 When a customer's first paid order at NuuVive is attributed to you and its commission is approved after the hold period, that customer (identified by the order's billing email and, where they have one, their NuuVive account) is linked to you. Every later paid order by that customer that is not credited by a code under section 4.1 is attributed to you at the repeat rate, for the customer link period shown in your partner dashboard (which may be the customer's lifetime), while you remain an approved partner. No link is made from a self-referral order, from a sample or other free order, or from an order by a customer who had already ordered from NuuVive, unless that customer's earlier link to a partner has expired or ended, in which case the customer is linked to you. If the commission a link came from is cancelled, voided or fully refunded, even after it was paid, the link moves to your next approved order from that customer, or is removed if there is none. A customer is linked to one partner at a time. A link held by a partner who is not approved, or whose customer link period has ended, credits no orders, and a link ends when that partner's participation is terminated or closed. We may correct a link that the records show is wrong.

4.3 Your partner code is issued when you are approved and is normally the same as your link code. It gives the buyer the discount shown in your dashboard. A partner code cannot be combined with any other code on the same order. A partner code has no attribution window.

4.4 An order is attributed to you by link when the customer arrived through your affiliate link and places the order, from the same browser, within the attribution window after that first arrival ("first touch"). The attribution window in force when the order is placed is shown on our affiliate page and in your partner dashboard, and is never more than 90 days. Within the window, a later link from anyone else, including you, does not replace the earlier one. Link attribution is recorded in the customer's browser, so an order placed from another device or browser, or after the customer has cleared their browser storage, is not attributed to you by link (a customer link under section 4.2 or your partner code may still credit it).

4.5 Our records of attribution are final, except for clear error, which we will correct. We may attribute an order to you by hand when the records show you introduced it.

5. Orders that do not earn commission

5.1 Self-referral: orders placed by you, for you, through your own account or with your own email address earn no commission.

5.2 Orders obtained in breach of this agreement earn no commission.

5.3 While your participation is suspended, your link, partner code and customer links attribute no orders.

5.4 Samples we send you (section 14) and any other order we supply free of charge earn no commission.

6. Refunds, chargebacks and clawback

If an order is refunded, cancelled, returned to unpaid or charged back, the commission on it is reduced or reversed. If the commission was already paid, the reversed amount is recorded as a clawback and deducted from your future payouts (for a store credit payout, section 3.6 applies first). Your balance can therefore be negative until later commissions cover it. A negative balance is recovered only by deduction from later commissions; we will not ask you to repay it unless the order was obtained in breach of this agreement.

7. Taxes

No tax form is needed until you earn $2,000 or more from us in a calendar year. We will not make any payout, by any method, that would bring your payouts from us in a calendar year to $2,000 or more (cash and store credit together, store credit counted at its cash amount before the store credit multiplier and net of credit taken back) until we have received a completed tax form from you (W-9 in the United States, or W-8BEN or W-8BEN-E outside it). You are solely responsible for all taxes on amounts and credit you receive. We may issue information returns as the law requires.

8. Content rules

The content rules shown with this agreement (version 2026-10-11.1) are part of this agreement. They cover your own posts and other content that mention NuuVive or carry your link or partner code, and how you promote them. What others publish on a site or page where your code or link is listed is not your content, except that the rule "No link or code in or beside how-to-use content" applies wherever your link or code appears. In summary:

(a) No therapeutic claims. Do not say or suggest that any product treats, cures, prevents or mitigates any disease or condition, or that it has any health benefit.

(b) No human use or administration. Do not discuss, depict or imply use in humans or animals, including injection, ingestion, application or any route of administration.

(c) No dosage information. Do not give amounts, schedules, cycles, protocols or reconstitution instructions, and do not link to anyone who does.

(d) No link or code in or beside how-to-use content. Don't put your NuuVive link or code in or beside content that shows how to use peptides on people (dosing, injection or protocol how-tos), whoever wrote it.

(e) No results or outcomes. Do not share "results", "outcomes" or effects of any kind, whether your own or anyone else's.

(f) No before/after language. Do not use before/after comparisons, transformation language or imagery of that kind.

(g) No efficacy claims. Do not claim or imply that any product works, is effective, or performs better than an alternative.

(h) No personal experience. Do not describe personal experience with any product, and do not publish testimonials or reviews of use.

(i) No safety claims. Do not say or suggest that any product is safe, well tolerated, low risk or free of side effects for any use.

(j) No drug comparisons. Do not compare any product with an approved or prescription medicine, or name one as an alternative, equivalent or substitute (for example "like" a branded drug).

(k) No approval or grade claims. Do not describe any product as approved, certified, "pharmaceutical grade" or clinically tested, or claim anything about it beyond what our product pages and the lab reports we publish state.

(l) No paid advertising or brand bidding without written approval. Do not run paid advertising of any kind that mentions NuuVive, our products or links to our site, and do not bid on "NuuVive" or any variation of it, unless we have approved it in writing first.

(m) No one under 21. Do not target anyone under 21.

(n) No code-inserting extensions. Do not use or promote browser extensions or tools that insert codes automatically at checkout. Listing your code and link on coupon, deal, review and comparison sites is fine.

(o) No rebates to buyers without written approval. Do not pass any part of your commission back to a buyer, by cash, gift, credit or any other means, unless we approve it in writing first. Otherwise the discount your partner code gives is the only buyer incentive.

(p) No clinics, practitioners or patients. Do not recruit clinics, practitioners or med spas, and do not target patients.

(q) No sub-affiliates. Do not recruit others to promote under your link or code, and do not pay or reward anyone to promote NuuVive for you.

9. Required disclosure

Every piece of content that contains your affiliate link or partner code, including a code you say aloud, must include a clear and conspicuous disclosure, placed before the link or code, at least as clear as: "I earn a commission from NuuVive on purchases made through my links or with my code." In audio and video, say the disclosure as well as showing it, at the start of the segment that mentions NuuVive. Where a platform offers a paid-partnership or affiliate label, use it as well. A disclosure only in a profile, an "about" page or behind a "more" link is not enough. If we sent you a free sample of a product your content shows, disclose that too, at least as clearly as: "NuuVive sent me these products free of charge." You are responsible for complying with the US Federal Trade Commission's endorsement guides and any equivalent rules where you publish.

10. Prohibited promotion

You must not:

(a) bid on "NuuVive" or any variation or misspelling of it, or on our product names combined with our name, in any search or advertising platform, without our prior written approval;

(b) use "NuuVive" or anything confusingly similar in a domain name, subdomain, social handle, account name, app name or page name;

(c) present yourself as NuuVive or as speaking for NuuVive;

(d) send unsolicited messages (email, SMS, direct messages or comments) or use any list you do not have permission to use;

(e) offer any incentive, reward or rebate to click, register or buy, other than the discount your partner code gives or an arrangement we approved under (j), or buy traffic from incentivised networks;

(f) set cookies, open pages, or load our site without a deliberate click by the visitor ("cookie stuffing"), or use hidden frames, pop-unders, adware or redirects that do the same;

(g) use or promote browser extensions or tools that insert codes automatically at checkout (listing your code and link on coupon, deal, review and comparison sites is allowed);

(h) run paid advertising of any kind (search, social, display, native or sponsored placements) that mentions NuuVive, our products, or links to our site, without our prior written approval;

(i) target anyone under 21;

(j) pass any part of your commission back to a buyer, by cash, gift, credit or any other means, including a cashback arrangement where buyers get part of your commission back, without our prior written approval;

(k) recruit clinics, practitioners or med spas, or target patients;

(l) recruit others to promote under your link or code, or pay or reward anyone to promote NuuVive for you (there are no sub-affiliates).

11. Monitoring and violations

We review affiliate content regularly and may ask you to remove or change content at any time. Violations are handled as follows:

First minor violation: Warning, content removal required.

Second minor violation: Commission hold: nothing matures, is approved or is paid until we release it.

Major violation: Immediate termination.

Human use implied in your own content: Immediate termination.

We decide what counts as minor or major. Any of your own content that implies human use is termination, without a warning. While a violation is under review we may place a commission hold on your account; while it is in place no commission matures, is approved or is paid, and it ends only when we release it.

12. Suspension, termination and closing

12.1 Either party may end this agreement at any time by notice ("closing"). We may suspend or terminate your participation immediately for any breach.

12.2 If we terminate your participation because you breached this agreement, every commission, bonus or credit not yet paid, whether pending or approved, is forfeited.

12.3 If this agreement is closed for any other reason, your link, partner code and customer links stop attributing new orders at once. Commissions on orders placed before closing keep maturing under section 3 and are paid on later payout days under section 3.5, once your payout details, and a tax form where section 7 requires one, are on file. The minimum payout balance does not apply to your final payout, made once no commission is still in its hold period. You can no longer change your payout details in your dashboard; if they need to change, contact us and we will record the change.

12.4 When this agreement ends for any reason you must remove your affiliate links and partner codes, and any content that breaks the content rules, within 7 days.

13. Confidentiality and data

Any information we share about orders, customers, sales volumes or program terms that are not public is confidential. You may use it only to take part in the program, and you must not disclose it. For each order attributed to you, your dashboard shows its date, commissionable value and status, and it shows how many customers are linked to you. We will not share customer names, contact details or order contents with you, and you must not try to obtain them.

14. Samples

Samples are not part of joining the program. Once you have completed sales, or agreed specific deliverables with us, we may at our discretion send you free product samples, to the shipping address you record in your dashboard. You are never required to review or describe a sample favourably, and if you post about a sample you must disclose that it was free, under section 9. Samples are for photographing and showing the products, their packaging and their documentation in your content, within the content rules; they are research materials like every NuuVive product and are not for use in humans or animals. You must not sell, give away or otherwise pass on samples. Samples earn no commission and are not part of any payout.

15. Our name and materials

We grant you a limited, revocable, non-exclusive licence to use the NuuVive name, the product photographs, links and post templates in your partner dashboard, and any other materials we provide, only to link to our storefront in line with this agreement. The licence ends when this agreement ends.

16. Liability

You are responsible for your content and indemnify NuuVive against claims arising from it or from your breach of this agreement. To the extent the law allows, our total liability to you under this agreement is limited to the commissions paid or payable to you in the 12 months before the claim.

17. Changes

We may change this agreement or the content rules by publishing a new version on our affiliate page and in your partner dashboard. A new version applies from the day we publish it on our affiliate page and in your partner dashboard, and the rate recorded on an order when it was placed still applies to that order. If you do not want to accept a new version, you may close this agreement under section 12.1. The commission rates, tiers, customer link period, partner code discount, hold period, attribution window, minimum payout, payout day, payout methods offered and store credit multiplier are program settings shown in your dashboard; sections 3.1, 3.2, 3.5, 4.2 and 4.4 say which setting applies to an order or a payout, and a tier you have reached is kept when the settings change.

18. General

This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. It is the entire agreement between us about the program. If any part is unenforceable, the rest remains in effect. You may not assign it without our written consent.
